Terms of Service
These Terms govern your use of Gig Nite (the "Service"). In these Terms, "we" and "us" mean the people who run Gig Nite. By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service. Effective date: October 12, 2026.
1. What the Service is
Gig Nite helps freelancers in the entertainment and event industry track gigs, income, expenses, invoices, and mileage, and generate reports. The Service is currently in beta: features may change, break, or be removed, and we may limit access to invited users.
2. Not tax, legal, or accounting advice
Gig Nite is a record-keeping and organization tool. It is not a tax preparer, accountant, or law firm, and nothing in the Service is tax, legal, or financial advice. Reports (quarterly summaries, 1099 vendor totals, mileage deductions, exports, and similar) are calculated from the information you enter and are provided for convenience only. They may be incomplete or wrong, for example if records are missing or categorized incorrectly, and they do not account for your full tax situation. Confirm filing deadlines, deductions, 1099 obligations, and amounts with a qualified tax professional. You are responsible for your own tax filings and compliance.
3. Your account
- You must be at least 18 and able to form a binding contract.
- Sign-in is through your Google account. You're responsible for keeping that account secure and for everything done under your Gig Nite account.
- During beta, access may require an invitation. We may decline or remove access at our discretion.
- Give us accurate information and tell us promptly if you suspect unauthorized use.
4. Your data
- You own your data. Everything you enter remains yours.
- License to us. You give us a limited license to host, store, process, and display your data solely to operate and improve the Service for you, as described in our Privacy Policy.
- Other people's information. If you enter information about others (for example, client or couple names), you confirm you have the right to do so.
- Sensitive numbers. Do not enter Social Security numbers, EINs, bank account numbers, or card numbers. The Service is not designed to protect them.
- Backups and exports. You can export your data from the Reports section. We take reasonable steps to protect and back up the Service, but you should keep your own copies of anything important. We aren't responsible for data loss.
5. Acceptable use
Don't: break the law or use the Service to defraud anyone; create false invoices or records; attempt to access other users' data or probe or disrupt the Service; reverse engineer it or scrape it; resell it without permission; upload malware; or use it in a way that violates Google's terms. You are responsible for the invoices and other documents you generate and send. We don't review them and aren't a party to your dealings with your clients.
6. Google Calendar integration
Connecting Google Calendar is optional. If you connect it, you authorize the Service to read your calendar, create, update, and delete gig events on it, and, if you set "Always invite" emails, add those people as guests (Google sends them invitations). You can disconnect at any time in Settings or revoke access in your Google account. Use of Google data is described in our Privacy Policy and complies with Google's API Services User Data Policy, including its Limited Use requirements. Google's own terms apply to your use of Google services.
7. Fees
The Service is free during the beta. We may introduce paid plans in the future. If we do, we'll tell you in advance and you won't be charged without your agreement. We may change or end the free beta at any time.
8. Intellectual property
The Service, including its software, design, and branding, belongs to us and our licensors. We grant you a limited, non-exclusive, non-transferable, revocable right to use it for your own business, subject to these Terms. Feedback you give us may be used by us without obligation to you.
9. Suspension and termination
You can stop using the Service and delete your account at any time in Settings → Account (or email gignitehelp@gmail.com). We may suspend or end your access if you violate these Terms, put the Service or other users at risk, or if we discontinue the Service. If we end the Service, we'll give reasonable notice where we can so you can export your data.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," ESPECIALLY DURING BETA, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DON'T WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY REPORT OR CALCULATION IS CORRECT.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, Gig Nite AND ITS OWNERS AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, OR FOR ANY TAX PENALTIES OR INTEREST, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR $100. Some places don't allow these limits, so they may not fully apply to you.
12. Indemnification
You agree to defend and hold harmless Gig Nite and its owners and contractors from claims, losses, and expenses (including reasonable attorneys' fees) arising from your content, your misuse of the Service, your violation of these Terms or the law, or your dealings with your clients.
13. Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Before filing a claim, you agree to contact us at gignitehelp@gmail.com and try in good faith to resolve it for at least 30 days. Any dispute not resolved that way will be brought in the state or federal courts located in Harris County, Texas, and you consent to those courts' jurisdiction.
14. Changes to these Terms
We may update these Terms. For material changes we'll notify you in the app or by email before they take effect. Continuing to use the Service after the effective date means you accept the updated Terms.
15. General
These Terms and our Privacy Policy are the entire agreement between you and us about the Service. If any part is found unenforceable, the rest stays in effect. Our not enforcing a right isn't a waiver of it. You may not transfer your rights under these Terms; we may transfer ours in connection with a merger or sale of the business.
